Conflict of interest

A Consent Manager must avoid conflicts of interest with Data Fiduciaries, including in respect of their promoters and key managerial personnel, and must have measures in place so that no conflict arises from directorships, financial interests, employment or beneficial ownership in a Data Fiduciary, or from any material pecuniary relationship with one.

First Schedule, Part B, items 9 and 10. Part A, item 7 requires these obligations to be written into the company's memorandum and articles of association, amendable only with the Board's prior approval.
